These Terms and Conditions govern all services ordered from or provided by Butlerista. By using Butlerista’s services, you acknowledge and agree to be bound by these Terms and Conditions concerning the said services and your order.
1. DEFINITIONS AND INTERPRETATION
1.1. Definitions
- Benefits: Refers to the advantages made available to customers by the suppliers.
- Terms: These terms and conditions, as amended from time to time in accordance with clause 9.7.
- Client: A person registered as a Butlerista client.
- Payment Card: Refers to the payment card provided by the client to Butlerista for payments.
- Website: Refers to the website located at www.butlerista.com.
- Request: Refers to a request made by a client to Butlerista for Butlerista to arrange the provision of goods and/or services from a third party on the client’s behalf.
- Services: Refers to the concierge and lifestyle management services provided by Butlerista to its clients.
- Supplier: Refers to a supplier engaged by Butlerista on behalf of and as an agent of a client to provide goods and/or services to that client.
1.2. Interpretation
- (a) A person includes a natural person, a legal entity, or an unincorporated entity (whether or not having a separate legal personality)
- (b) A reference to a party includes its legal representatives, successors, or permitted assigns.
- (c) A reference to a law or legislative provision includes any subordinate legislation made under that law or legislative provision, as amended or reenacted.
- (d) Any phrase introduced by the terms “including,” “includes,” “in particular,” or any similar expression should be interpreted as illustrative and should not limit the meaning of the words preceding those terms.
- (e) A reference to writing or written includes emails.
2. PROVISION OF SERVICES
2.1. Commitment
Butlerista commits to providing Services to the client as far as possible, according to the client’s specific requests. However, Butlerista cannot guarantee the availability of certain goods or services due to constraints such as availability, prices, or other external factors. Therefore, Butlerista reserves the right to refuse certain requests if they cannot be fulfilled.
2.2. Service Modifications
Butlerista reserves the right to make any changes to the Services necessary to comply with any applicable law or safety requirement, or which do not significantly affect the nature or quality of the Services. Butlerista will notify the client of any such event.
2.3. Commissions
You acknowledge that Butlerista reserves the right to accept commissions when providing products or services from any Supplier.
2.4. Care and Skill
Butlerista will provide the Services with reasonable care and skill and, where possible, in accordance with your reasonable requests and instructions from time to time.
3. REQUESTING SERVICES
3.1. Request Process
Clients can place requests via phone, text messages, WhatsApp, social media, the website, or email.
3.2. Right of Refusal
Butlerista, acting reasonably, reserves the right to withdraw certain Services and/or refuse to accept certain Requests at its sole discretion.
3.3. Accuracy of Information
You agree to provide accurate details to book, order, or purchase products or services, to use your own debit, credit, and/or payment card at all times, and to have sufficient funds to cover the cost of the product or service.
3.4. Service Fees
From time to time, obtaining or providing certain services, products, or benefits may incur service or processing fees for Butlerista, and in such cases, you hereby authorize Butlerista to charge your Payment Card for these processing fees or, alternatively, to invoice you for such fees or charges.
4. CANCELLATIONS, REFUNDS, AND RETURNS
4.1. Refund Policy
The client may cancel a service subject to the following conditions:
- If the cancellation occurs more than 72 hours before the service is rendered, a 50% refund of the fee charged by Butlerista for arranging the service will be made unless Butlerista deems the situation exceptional.
- If the cancellation occurs less than 72 hours before the service is rendered, no refund of the fee charged by Butlerista will be granted.
- The refund of the total cost of the service, excluding Butlerista’s fee, will be subject to the refund policies of the relevant supplier. Butlerista cannot be held responsible for the refund conditions set by third-party suppliers.
4.2. Contracts with Suppliers
The client acknowledges that the sales contract for the provision of goods and/or services entered into following a Request is between the client and the relevant Supplier and that Butlerista is not a party to such a contract. The cancellation of contracts with Suppliers must be handled directly with the Supplier and will be subject to the Supplier’s policies.
4.3. Substitute Products
If a request for a specific product or service is unavailable, Butlerista may offer you substitute products or services of similar description and quality.
4.4. Product Descriptions
All product, service, or Benefit descriptions on the Website have been approved by the relevant Supplier. Butlerista will not be responsible for inaccurate or misleading descriptions.
4.5. Return Policy
The client acknowledges that for goods purchased on their behalf by Butlerista directly from a Supplier, returns and exchanges will be subject to the terms and conditions of that Supplier and may not always be permitted.
5. SUPPLIERS
5.1. Supplier Engagement
Suppliers are responsible for providing you with the services, products, and Benefits you request us to order on your behalf. Butlerista will communicate with Suppliers on your behalf unless it is more appropriate for you to contact the Supplier directly.
5.2. Supplier Conditions
Suppliers may impose their own terms and conditions applicable to the provision of goods and/or services by that Supplier to you. These terms and conditions will be binding on you at the time of the order.
6. NON-SOLICITATION CLAUSE
The client agrees not to solicit, engage, or employ directly or indirectly any Butlerista employee, consultant, or subcontractor who has participated in the provision of services during the contract period and for a period of 24 months following its termination, except with Butlerista’s prior written consent. In case of non-compliance with this obligation, the client will be required to pay Butlerista compensation equal to 24 months of the gross salary of the concerned employee.
7. INTELLECTUAL PROPERTY
7.1. Rights
All intellectual property rights in the documents, concepts, ideas, or products provided by Butlerista remain the exclusive property of Butlerista unless expressly provided otherwise. You agree not to copy, reproduce, or use any content or information without Butlerista’s prior consent.
8. LIMITATION OF LIABILITY
8.1. Liability
Subject to specific clauses relating to legal obligations, Butlerista’s liability to the client will be limited to the total amount paid by the client for the service. Butlerista will not be liable for indirect or consequential losses, including loss of profit or loss of data.
8.2. Force Majeure
Butlerista will not be held responsible for delays or failures in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, pandemics, or supplier service interruptions.
9. REFERENCING
9.1. Use of Name and Brand
The client authorizes Butlerista to mention their name, brand, and non-confidential details regarding the services rendered, for marketing or promotional purposes on the Website, brochures, or any other communication media, unless otherwise stated in writing.
10. CONFIDENTIALITY AND DATA PROTECTION
10.1. GDPR
Butlerista is committed to complying with current regulations concerning the protection of personal data, including the General Data Protection Regulation (GDPR). The data collected will be processed in accordance with Butlerista’s Privacy Policy, available on the Website.
10.2. Use of Data
The client’s personal data will only be used as part of the service’s execution and will not be shared with third parties without the client’s explicit consent, except when necessary for providing the requested services.
11. INDEMNIFICATION
The client agrees to defend, indemnify, and hold harmless Butlerista, its affiliates, officers, directors, employees, and agents from any claim, demand, action, or proceeding initiated by a third party, including but not limited to legal fees and reasonable attorney fees, arising from or related to your use of Butlerista’s services, any breach of these Terms, or any act on your part that would be contrary to applicable laws.
